These Terms and Conditions govern your use of the Juriszen website and constitute the basis on which we provide legal services to clients. By using our website or engaging our services, you agree to these terms. Please read them carefully. They do not constitute legal advice and do not create a lawyer-client relationship unless a formal engagement letter has been executed.
1. Definitions
- "Company", "We", "Us", "Our" means Juriszen Co., Ltd., registered in Thailand.
- "User", "You" means any person accessing this website or enquiring about our services.
- "Client" means a person or organisation that has entered into a written engagement with Juriszen.
- "Services" means the legal services described on this website: Corporate Legal Counsel, Contract Drafting and Review, and Dispute Resolution Support.
- "Agreement" means these Terms and Conditions together with any applicable engagement letter.
- "Content" means any text, materials, information, or data available on this website.
2. Acceptance of Terms
By accessing or using this website, you confirm that you are at least 18 years of age and have the capacity to enter into a legally binding agreement. Use of this website constitutes acceptance of these Terms. If you do not agree, please discontinue use of the website.
3. Website Use and Content
The content of this website is provided for general information purposes only. It does not constitute legal advice, and no lawyer-client relationship is established by your use of this website or by submitting an enquiry form. You should not act or refrain from acting based on content on this website without taking appropriate professional advice in relation to your specific circumstances.
Juriszen reserves the right to modify, suspend, or discontinue any part of the website at any time without notice.
4. Professional Engagement
4.1 Formation of Engagement
A professional relationship between Juriszen and a Client is only formed upon execution of a written engagement letter. No obligation to provide legal services arises from an enquiry, consultation, or preliminary discussion unless confirmed in writing by Juriszen.
4.2 Scope of Services
The scope of services to be provided is defined in the engagement letter. Services beyond that scope will not be undertaken without a written amendment to the engagement terms. Any change to scope agreed verbally must be confirmed in writing before additional work proceeds.
4.3 Client Responsibilities
Clients are responsible for providing accurate, complete, and timely information as reasonably required for the performance of the agreed services. Juriszen cannot be held responsible for consequences arising from incorrect or incomplete information provided by the Client.
5. Fees and Payment
Fees are as set out in the applicable engagement letter. Published service rates on this website are indicative starting points and may vary depending on the scope and complexity of the specific matter. All fees are quoted in Thai Baht (THB) unless otherwise stated. Payment terms are as specified in the engagement letter. Any disbursements incurred on a Client's behalf will be set out separately and agreed in advance.
6. Cancellation and Refund
Cancellation terms are set out in each engagement letter. For retainer arrangements, either party may terminate with 30 days' written notice unless otherwise specified. Work completed up to the point of termination is chargeable at the agreed rate. For project-based engagements, where work has commenced, fees are payable for work performed to date.
7. Confidentiality
Juriszen treats all client information as confidential in accordance with our professional obligations and applicable law. We will not disclose client information to third parties except where required by law, with the client's consent, or where necessary to provide the agreed services. This obligation continues after the termination of any engagement.
8. Intellectual Property
All content on this website, including text, design, and structure, is the property of Juriszen Co., Ltd. and is protected under applicable intellectual property law. You may not reproduce, distribute, or create derivative works from this content without our prior written consent. Documents prepared by Juriszen for a Client pursuant to an engagement are provided for the Client's use in connection with the relevant matter only.
9. Disclaimers
Juriszen provides services with reasonable care and professional skill but does not warrant any specific outcome. Legal matters involve inherent uncertainty, and we make no representation that a particular result will be achieved. The website and its content are provided "as is" without warranties of any kind, express or implied.
10. Limitation of Liability
To the extent permitted by Thai law, Juriszen's liability for any claim arising from the provision of services is limited to the fees paid by the Client in respect of the specific matter giving rise to the claim. Juriszen is not liable for indirect, consequential, or special damages. These limitations do not apply to liability for fraud or wilful misconduct.
11. Indemnification
You agree to indemnify and hold Juriszen, its partners, associates, and staff harmless from any claims, damages, or expenses (including reasonable legal costs) arising from your misuse of this website or breach of these Terms.
12. Termination
Juriszen reserves the right to decline or discontinue any engagement where a conflict of interest is identified, where required by professional rules, or where continued engagement is no longer appropriate in the firm's professional judgement. Clients may terminate an engagement in accordance with the terms of the applicable engagement letter.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand. Any dispute arising from or in connection with these Terms or the use of this website will be subject to the exclusive jurisdiction of the Thai courts. Juriszen encourages parties to attempt informal resolution of any dispute before commencing formal proceedings.
14. General Provisions
- Entire Agreement: These Terms, together with any engagement letter, constitute the entire agreement between the parties in relation to the subject matter.
- Severability: If any provision is found to be unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
- Notices: Legal notices to Juriszen should be sent in writing to the address below.
15. Changes to These Terms
We may update these Terms from time to time. The revised version will be published on this page with an updated effective date. Continued use of the website after changes are published constitutes acceptance of the revised Terms.
